Refer a Friend 2022– Terms and Conditions

1. AbeBooks Inc. ("AbeBooks", "we", "us" or "our") is pleased to invite you to participate in the Refer a Friend Promotion ("Promotion").

2. The Promotion will commence at 00:00:00 hrs. (PST) on 31/03/2022 and end at 23:59:59 hrs. (PST) on 31/03/2023 ("Promotion Period") unless extended or revoked by AbeBooks in its sole discretion without any prior notice.

3. Subject to these Terms, under this Promotion, for every person you refer (such person hereinafter referred to as the "Referee") to AbeBooks via a promotion code (“Code”) to launch as a seller on an AbeBooks site, you will be eligible to receive Referral Rewards worth up to a $25 USD account credit when the Referee starts selling on AbeBooks sites (“Site”). The unique Code provided to you will only be valid for four (4) weeks and can be sent by you to up to 25 Referees.

4. The Referee will be eligible to receive a reward of three months of Seller Subscription Fees, and you will be eligible to receive a reward of USD $25 applied to your AbeBooks account as a credit (each, a “Reward”) if Referee meets the Promotion requirements herein (the “Promotion Criteria”). The maximum Reward you can earn is a $25 credit to your AbeBooks account for each successful referral. Rewards will be applied to your account within [4 weeks] of Referee meeting all Promotion requirements, and in no event sooner than date that Referee first lists an item for sale on the Site.

5. For the purposes of these Terms mentioned in point 4, Referee will be considered to have launched as a seller on the Site on the date their first listing is live on an AbeBooks’ site, provided that:

• Referee must register within 4 weeks of when the Code was originally generated;
  
• Referee registers on the Site as a seller with (i) the Code you have provided them; and (ii) their individual credentials, and such Referee credentials do not already exist in the AbeBooks seller database within the last two years.
  
• Referee must successfully pass AbeBooks’ seller vetting process (including but not limited to fraud checks);
  
• Referee must register as a seller from one of the following countries: USA, Canada, UK, Germany, France, Italy, or Spain;
  
• Referee must list at least 1 item on the Site within four (4) weeks from the date of activation as a seller.
  

6. You are not eligible to be a referrer for this Promotion if you are not a seller under the AbeBooks Seller Agreement.
7. You will not be eligible to participate in this Promotion if your account is suspended or blocked for any reason whatsoever.

8. You and the Referee will not be eligible for Rewards if Referee's account gets suspended or blocked within 45 days of launch as a seller on the AbeBooks Site.

9. If the Promotion Criteria are met, your Reward will be automatically credited to your AbeBooks account.

10. There are no cash or other prize alternatives available in whole or in part. However, in circumstances beyond our control, we may substitute similar alternative prize/Rewards of equal or greater value in our sole discretion.

11. Unless otherwise agreed in writing by us, the Rewards will only be awarded directly to the eligible seller. The seller cannot sell, transfer or assign the Rewards to any other person.

12. Each Reward offered under this Promotion will be awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).

13. AbeBooks reserves the right to determine, in its sole and absolute discretion, whether or not you have successfully met all the criteria to avail the Rewards under this Promotion.

14. AbeBooks reserves the right to terminate your participation under this Promotion, at any point of time, in its sole discretion, with or without cause, including if any one of the criterion outlined herein are not met.

15. You acknowledge and agree that at any point of time, AbeBooks reserves the right to cancel, modify, change, suspend or withdraw any of these Terms as it may deem fit, in part or in their entirety, with or without cause, without giving any prior notice without incurring any liability whatsoever.

16. AbeBooks does not waive any right under these Terms by failing to insist on compliance with any of the provisions of these Terms or by failing to exercise any right hereunder. To the extent permissible under any applicable law, AbeBooks waives and disclaims all responsibility and liability for any damages or losses arising out of any statute, contract or otherwise from or in connection with the Promotion or any Promotion related activities and any benefits/ prizes provided hereunder.

17. Notwithstanding anything contained in these Terms, AbeBooks shall in no event be liable for any special, direct, indirect, consequential or incidental damages (including but not limited to damages for loss of business profits, business interruption, loss of business information, and the like) arising out of these Terms, any documents referenced in these Terms, or any addenda or amendment hereto even if AbeBooks had been advised of the possibility of such damages.
